Andrew Hecht

Andrew (Andy) Hecht is an experienced corporate lawyer, entrepreneur, and he is the managing partner of HLPC. Prior to founding HLPC in 2013, Andy was a corporate and securities lawyer at Simpson Thacher & Bartlett LLP, a leading international law firm, based in the firm’s offices in New York, Tokyo and Palo Alto. Andy represents all manner of businesses, from startups seeking to make their first deal, to major investment banks, private equity firms and their portfolio companies. He has worked on countless corporate transactions including mergers and acquisitions, leveraged buy-outs, public and private financings, securities offerings, minority investments and joint ventures. Andy co-founded and served as first Chief Legal Officer of one of the earliest companies to enter the post-JOBS Act crowdfunding industry. In September 2013, he was issuer counsel for the first ever general solicitation offering to be launched under Title II of the JOBS Act. Andy is a frequent speaker at founder events and in educational settings, and contributor to industry publications. Andy’s passion is working with entrepreneurs and building solid foundations to support their enthusiasm. Before studying law, he was a successful software developer who took on numerous challenges throughout the dot-com era. Among other things, Andy helped design and build the enterprise servers that became the initial backbone of the online bill payment industry, and he developed speech recognition-based trader workstations to enable stock traders to engage in high speed hands-free trading. Andy also co-founded, built and operated one of the first on-demand digital yoga studios.  In his spare time, Andy is an active outdoorsman and environmentalist. He has provided pro bono legal representation to environmental organizations in the San Francisco Bay Area and around the United States.  Andy speaks, reads and writes Spanish and Japanese. He is admitted to practice law in the States of California and New York. Andy holds a B.A in Asian Languages & Civilizations from Amherst College, a J.D. from the Duke University School of Law and a M.E.M. in Environmental & Resource Economics from Duke University – Nicholas School of the Environment.

Reid Monroe-Sheridan

A. Reid Monroe-Sheridan is a partner of HLPC and a New York-licensed registered foreign attorney based in Tokyo, Japan. Fluent in Japanese, Reid previously worked in the New York and Tokyo offices of Simpson Thacher & Bartlett LLP. Reid's practice focuses on technology companies and matters with a Japan nexus. He has over a decade of corporate practice experience advising a wide variety of Japanese and American companies on cross-border M&A, venture financings, securities transactions, complex technology licensing agreements and other commercial transactions, as well as providing general US law guidance to Japanese corporations with business in the United States. Reid's legal practice in Japan is registered as Monroe-Sheridan Foreign Law Office.  Reid is also an Associate Professor at Keio Law School, one of Japan’s top-ranked law schools, where his courses include Start-up and Venture Capital Law, International Capital Markets, and Drafting International Agreements. Reid's published research has focused on the use of convertible equity in startup financings in Japan and the United States as well as Japanese corporate governance topics. Reid received his J.D., cum laude, from Harvard Law School and is a graduate of the Inter-University Center for Japanese Language Studies, which is run by Stanford University.

Reid has a B.A. in Japanese Literature from Carleton College. Reid's English translation of a collection of Japanese short stories by Mukoda Kuniko, The Woman Next Door, was published by Kurodahan Press in 2021. In his spare time, Reid enjoys rock climbing.

Matty Ochmanek

Matthew (Matty) Ochmanek is a corporate associate attorney at HLPC. Matty represents emerging and high-growth companies, venture capital firms, and angel investors. In conjunction with providing strategic counsel to these clients, Matty’s practice includes financings, mergers and acquisitions, corporate governance, and general corporate matters. Matty has years of experience working with technology companies and the investors that fund them. Matty co-founded and served as CEO of a venture that developed a patented system for automating copyright licensing transactions for indie musicians and filmmakers. He has also worked in digital product design and management at Google. As a lawyer, in addition to his venture practice, Matty has litigated a wide variety of cases from initiation through successful resolution, including cases involving anti-trust and business interference, premises liability, product warranty claims, and consumer fraud allegations. Matty received a BA in Interdisciplinary Studies with a concentration in “The Impact of Information Technology” from the University of California, Berkeley in 2008, and a joint law and business degree (JD/MBA) from the University of California, Irvine in 2014. Matty’s hobbies include surfing, cycling, and live music.

Simon Cragg

Simon Cragg is a corporate attorney at HLPC. Prior to joining HLPC, Simon was a senior associate in the London and New York offices of leading international law firm Arnold & Porter LLP, and later traded oil futures on his own account.  Simon is dual-qualified, admitted in New York and England, with extensive experience in public and private financings, mergers and acquisitions and corporate governance matters. Simon advises on venture capital financings, mergers and acquisitions, shareholder disputes and joint ventures, and has worked on numerous debt capital market and cross-border transactions. Simon counsels clients from a variety of industries including technology, life sciences and financial services. Simon holds an LL.B. (Hons.) in law from the University of Sussex and a post-graduate diploma in legal practice from The College of Law, London. When not practicing law he enjoys racing motocross and mountain bikes, skiing and snowboarding.

Ashley Morgan

Ashley is the office manager for HLPC and provides paralegal services.  She has been working with HLPC since its inception and is the only one who knows where the paperclips are. 

Ashley has been involved with startups and small businesses for almost two decades.  She was a co-founder for Guided Yoga.  She is also the founder and active contributor to the Cabrillo Art Cave, a neighborhood pop-up art gallery featuring artists from the San Francisco bay area.  

 

Ashley holds a BA in Asian Languages and Civilizations from Amherst College and a MA in education from Duke University.  Ashley speaks Spanish, French and conversational Japanese.  Her hobbies include singing opera and classical music, gardening and cats.
